TERMS AND CONDITIONS OF THE DELISEEDS ONLINE STORE

1. General Provisions

1.1.

The online store available at www.deliseeds.com is operated by:

(hereinafter referred to as the “Seller” ).

1.2.

These Terms and Conditions define the rules for using the Deliseeds online store, placing orders, concluding sales contracts, delivery, returns, complaints, as well as the rights and obligations of the parties.

1.3.

The store operates on the Shopify platform. Sales contracts are concluded directly between the Customer and the Seller.

1.4.

These Terms and Conditions apply to all Customers of the store, including:

  • consumers (B2C),

  • business customers (B2B), including wholesale and export customers.

2. Definitions

Customer – a natural person, legal entity or organizational unit placing an order in the store.

Consumer (B2C) – a natural person making a purchase not directly related to their business or professional activity.

Business Customer (B2B) – an entity making a purchase in connection with its business or professional activity.

Product – seeds offered by the Seller, intended for microgreens cultivation.

3. Nature of the Products

3.1.

Products offered in the Deliseeds store are biological products – seeds intended for microgreens cultivation.

3.2.

Due to the biological nature of the Products:

  • germination and cultivation results may vary depending on storage, sowing and growing conditions,

  • the Seller does not guarantee identical results in every cultivation.

3.3.

Seed germination rates fall within typical commercial ranges for a given species and batch, in accordance with the producer’s documentation.

3.4.

The Products are intended exclusively for microgreens cultivation. The Seller is not responsible for the use of the Products for any other purposes.

4. Placing Orders and Conclusion of the Contract

4.1.

Information presented in the store constitutes an invitation to conclude a contract.

4.2.

Placing an order requires:

  • adding Products to the shopping cart,

  • completing the order form,

  • accepting these Terms and Conditions,

  • making payment.

4.3.

The sales contract is concluded at the moment of:

  • confirmation of the order by the Seller, or

  • dispatch of the ordered Products.

4.4.

The Seller reserves the right to refuse to process an order in the event of product unavailability or incorrect Customer data.

5. Prices and Payments

5.1.

Prices displayed in the store are gross prices (including VAT), unless stated otherwise.

5.2.

Delivery costs are indicated separately during the order process.

5.3.

Available payment methods are presented in the store during checkout.

6. Delivery

6.1.

Orders are processed within the timeframe indicated on the product page or in the order confirmation.

6.2.

Delivery times are indicative only.

6.3.

The risk of loss or damage to the Product passes to the Customer upon handing the shipment over to the carrier.

7. Right of Withdrawal – Consumers (B2C)

7.1.

The Consumer has the right to withdraw from the contract within 14 days of receiving the order, without giving any reason.

7.2.

The right of withdrawal does not apply in the case of:

  • opened seed packages,

  • products which, due to their nature, are not suitable for return once opened.

7.3.

Detailed rules regarding returns are set out in the Deliseeds Returns and Complaints Policy .

8. Returns and Complaints

8.1.

Rules for returns and complaints are governed by a separate document:
Deliseeds Returns and Complaints Policy , available on the store website.

8.2.

These Terms and Conditions supplement the above-mentioned policy.

9. B2B Sales and Export

9.1.

Provisions regarding the right of withdrawal and the 30-day return policy apply exclusively to Consumers (B2C).

9.2.

In the case of sales to Business Customers (B2B), including wholesale and export orders:

  • the right of withdrawal does not apply,

  • orders are binding from the moment they are confirmed,

  • returns are not accepted, except in cases of approved complaints.

9.3.

The Business Customer is responsible for complying with local import, phytosanitary and customs requirements in the destination country.

10. B2B Complaints

10.1.

Business Customers may submit quality-related complaints within 30 days of receiving the order.

10.2.

Complaints may concern in particular:

  • variety non-conformity,

  • quality defects of seeds,

  • significantly reduced germination under proper cultivation conditions.

10.3.

A complaint should include:

  • order number or batch number,

  • description of the issue,

  • information on germination conditions,

  • photographic documentation (if applicable).

10.4.

The Seller is responsible solely for the quality of the seeds at the time of dispatch.

11. Liability

11.1.

The Seller shall not be liable for:

  • cultivation results,

  • yield,

  • losses resulting from conditions on the Customer’s side.

11.2.

The Seller’s liability is limited to the value of the order, unless mandatory provisions of law provide otherwise.

12. Personal Data

12.1.

Customers’ personal data are processed in accordance with the Deliseeds Privacy Policy .

13. Governing Law and Jurisdiction

13.1.

These Terms and Conditions are governed by Polish law.

13.2.

In the case of Business Customers, the court having jurisdiction shall be the court competent for the Seller’s registered office.

14. Final Provisions

14.1.

These Terms and Conditions enter into force on the date of their publication on the store website.

14.2.

The Seller reserves the right to amend these Terms and Conditions. Amendments do not affect rights acquired by Customers prior to the changes.
